Unauthorised AI adoption is accelerating across every organisation — and governance is three years behind. Here is what is actually at stake, and what to do about it.

According to Microsoft’s 2024 Work Trend Index, 75% of global knowledge workers already use AI at work, and 78% of those users are bringing their own AI tools rather than relying solely on enterprise-approved systems. This means the majority of AI usage in many organisations is happening outside formally governed platforms.
The phenomenon is no longer confined to innovation teams or developers experimenting at the edge. It is present in finance teams summarising customer correspondence, HR functions drafting employee communications, sales teams using AI to personalise outreach, and operations teams relying on AI assistants to accelerate repetitive tasks. The tools are often inexpensive, easy to access, and framed as productivity enhancers — which makes them highly attractive, and governance-resistant.
2. Why Shadow AI Is Harder to Control Than Shadow IT Ever Was
Traditional Shadow IT usually involved unauthorised software, devices, or cloud environments. It could be serious, but it tended to be visible through infrastructure patterns: unknown applications, unapproved endpoints, unusual traffic, unsanctioned SaaS subscriptions. Shadow AI is structurally harder to detect because it hides in ordinary workflows. A browser tab open to an AI assistant does not always look suspicious. A team using AI to summarise board papers may never register as a technology procurement event. An employee copying customer or employee data into a public model interface leaves little visible governance trace until something goes wrong.

Many AI tools are adopted without procurement review, DPA review, or legal sign-off. That means regulated organisations may have third parties processing personal or confidential data without a signed DPA, defined data residency controls, or clear model-training restrictions.
4. The Compliance Problem Nobody Wants to Discover in an Audit
For regulated organisations, Shadow AI is already a compliance issue even when no breach has yet occurred. Under GDPR, organisations must know where personal data is processed, by whom, under what legal basis, and with what contractual protections. If employees are pasting personal data into public AI tools, the organisation may have no record of the processor relationship, no DPA, no transfer assessment, and no data minimisation controls.
The same logic applies beyond privacy law. Financial services, healthcare, and public-sector organisations must often demonstrate that decisions affecting customers, patients, employees, or citizens are made under controlled, explainable processes. If AI has influenced those decisions, but that influence is undocumented, audit defensibility weakens immediately.

You do not merely have a tooling problem. You now have a documentation problem, a legal review problem, and possibly a disclosure problem. Discovery in audit is the worst-case timing because leadership must answer questions under pressure, without established evidence.

Blanket prohibition rarely works. Employees adopt AI because it solves immediate problems — faster drafting, faster summarisation, faster analysis, faster throughput. If governance responds only with restrictions, the workforce simply routes around it. The answer is controlled enablement: make the safe path easier, faster, and more useful than the unsafe one.
Run a Discovery Sprint
Use SaaS discovery data, browser extension visibility, expense data, procurement records, and targeted employee self-reporting to identify which AI tools are already in use. Do not frame this as a disciplinary exercise. Frame it as an amnesty-led risk discovery exercise. If you make the first phase punitive, employees will underreport and the data will be useless.
Create a Practical AI Use Policy
Most AI policies fail because they are either too abstract or too restrictive. A credible policy should clearly define what data may never be entered into public AI systems, what categories of use require approval, what approved tools exist, and what manager responsibilities are. It must be readable by normal employees, not only lawyers.
Publish an Approved AI Catalog
If the only thing employees hear is “don’t use unapproved tools,” they will keep using them. Give them a governed alternative. That means a published internal catalog of approved, enterprise-licensed tools covering common use cases: writing, coding, data analysis, research, and process automation.
Close the Vendor and Contract Gaps Immediately
Discovery will reveal AI vendors processing confidential data without a DPA in place. This is the most acute near-term regulatory risk and requires immediate legal action. Triage discovered vendors by data type. Embed AI-specific requirements — model training policies, sub-processor lists, data residency options, security certifications — into your standard vendor questionnaire going forward.
Build AI Literacy as a Governance Asset
Policy without comprehension generates circumvention. Structured AI literacy programmes covering data governance, vendor training policies, output verification, and regulatory obligations transform employees from a governance risk into a governance asset. Employees who feel governance is designed to help them use AI safely will cooperate. Those who feel it obstructs their productivity will route around it.

We already have ITIL processes and a mature IT governance framework. Does that cover Shadow AI?
ITIL provides an excellent governance foundation, and its core disciplines — change management, asset management, service catalogue management, and continual improvement — apply directly to AI tool governance. The limitation is not in ITIL's principles but in its assumptions: ITIL assumes IT has visibility of what is in use. Shadow AI, by definition, operates outside that visibility layer.
Extend your ITIL framework in two specific ways. First, add an AI Tool Registration requirement to your service catalogue: any AI tool in business use should be registered as a configuration item with owner, data types processed, and DPA status recorded. Second, add a Shadow AI Discovery Cycle to your continual improvement programme, running quarterly.
ITIL governance teams that have extended their frameworks in this way have found the transition relatively straightforward — the discipline is familiar, only the asset category is new.
How does the EU AI Act actually affect our obligations around Shadow AI specifically?
The EU AI Act, in force from August 2024, creates a tiered obligation framework based on the risk level of the AI system deployed. For high-risk categories — employment and HR decisions, credit scoring, critical infrastructure management — deploying organisations must maintain technical documentation sufficient for audit, register the system in the EU database, conduct human oversight assessments, and implement data governance practices.
Shadow AI in high-risk categories is therefore not merely a data governance problem — it is a statutory compliance failure. Legal counsel with EU AI Act experience should review your current AI tool landscape before your next compliance cycle. If you are headquartered outside the EU but processing data of EU residents, the Act's extraterritorial provisions likely apply.
What is the right way to handle AI tools we discover employees are already using — block immediately or manage?
Blocking everything immediately signals to employees that IT is a productivity obstruction, drives adoption underground where it becomes truly invisible, and causes resentment that makes subsequent culture change much harder.
The MJB recommended triage-first model:
- Immediate block: tools processing personal or confidential data with no DPA available.
- Conditional continuation: tools where a DPA is available but unsigned, or processing low-sensitivity data.
- Pre-approval by category: genuinely low-risk tools.
- Amnesty window: self-declaration of existing usage without disciplinary consequences.
The goal is to move from discovery to a managed estate as quickly as possible — not to achieve perfect compliance overnight.
How do we build credible AI governance without the budget or headcount for dedicated AI governance staff?
The minimum viable AI governance model that MJB has seen work in organisations of 500–2,000 employees comprises: one named AI Governance Lead (typically an existing senior IT, Legal, or Compliance professional extending their current role); a lightweight AI Tool Registration process embedded into existing service catalogue or procurement workflow; quarterly AI discovery using SaaS management tooling you likely already have; and an Approved AI Catalog on your intranet, updated monthly.
The organisations that over-invest in governance infrastructure before establishing basic process discipline tend to produce elaborate frameworks that nobody uses. Start with the minimum viable model, demonstrate that it works, and scale from there.
How do we measure whether our Shadow AI governance programme is actually working?
MJB recommends tracking four metrics quarterly:
- Shadow AI discovery delta — new unapproved tools discovered each quarter vs. previous quarter. Should decline as employees route requests through the official channel.
- Fast-track approval throughput and cycle time — number of AI tool requests processed and average time to decision.
- Approved catalog adoption rate — proportion of AI tool usage running through approved catalog tools vs. total discovered usage.
- DPA coverage rate — proportion of AI vendors processing personal data with a signed, current DPA. Should be 100%; anything below signals active regulatory exposure.
The Governance Window Is Closing
Shadow AI is not a future risk. It is forming right now — in the browser tab your analyst has open, in the AI tool your marketing lead subscribed to last Tuesday, in the vendor your operations team quietly onboarded six months ago without a DPA. The incident that will force this onto your board's agenda is not the one that already happened at a competitor. It is the one currently forming in a workflow nobody has documented and a tool nobody approved.
The CIOs who will navigate this well are not those who respond with blanket prohibition. They are those who recognise Shadow AI for what it is: a signal that the workforce is ready for AI, hungry for its capabilities, and willing to accept some degree of risk to access them. That signal should be met with governance that earns cooperation rather than commanding compliance.
